    Second Look Cancer — Terms of Service. These Terms govern your access to and use of Second Look Cancer ("Second Look," "we," "us," "our") and the services, websites, applications, and features we offer (collectively, the "Service").

    Important Medical Disclaimer

    Second Look is an informational and educational tool that helps users discover clinical trial information and related educational content. Second Look does not provide medical advice, diagnosis, or treatment recommendations. Always consult a qualified healthcare professional before making any medical decision, including whether to pursue or enroll in a clinical trial.

    1. Acceptance of Terms

    By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy (together, the "Agreement"). If you do not agree, do not use the Service.

    We may update these Terms from time to time. If we make material changes, we will provide notice through the Service and/or by email. Continued use after changes become effective constitutes acceptance.

    2. Eligibility and Account Registration

    You must be legally able to enter into a binding agreement in your jurisdiction to use the Service.

    If you create an account, you agree to:

    • • provide accurate, current, and complete information;
    • • maintain the security of your credentials;
    • • promptly notify us of any unauthorized access.

    You are responsible for all activity under your account.

    3. Service Description

    What Second Look Provides

    • • Clinical trial information and tools for searching, filtering, and viewing trials
    • • Matching or recommendations based on information you provide
    • • Maps and location-based features related to trial sites
    • • Educational content about trials, biomarkers, and related topics
    • • Patient experience reviews and community insights

    What Second Look Does Not Provide

    • • Medical advice, diagnosis, or treatment
    • • A guarantee of trial availability, eligibility, enrollment, or acceptance
    • • Insurance, coverage, billing, or financial advice

    You understand that trial information may change and you should verify details directly with the trial sponsor/site before acting.

    4. User Responsibilities

    You agree to:

    • • use the Service only for lawful purposes;
    • • provide accurate information to improve results;
    • • consult healthcare professionals before making medical decisions;
    • • not interfere with or disrupt the Service.

    5. Acceptable Use and Prohibited Conduct (Aggressive Protection)

    You agree not to, and not to permit any third party to:

    5.1 Automated Access, Scraping, and Data Harvesting

    • • access, search, or collect information from the Service through automated means (bots, spiders, scrapers, crawlers, or AI agents), except as explicitly authorized by us in writing;
    • • perform bulk downloading, harvesting, exporting, or systematic copying of any part of the Service or its content;
    • • bypass robots.txt, rate limits, authentication, paywalls, or other access controls.

    5.2 Competitive Use, Benchmarking, and Product Development

    • • use the Service, content, or outputs to develop, train, benchmark, validate, or improve a product or service that competes with Second Look, or to build a substantially similar substitute, without our prior written consent;
    • • systematically analyze the Service to replicate features, workflows, prompts, schemas, ranking logic, eligibility/enrichment approaches, or other proprietary design elements.

    5.3 Reverse Engineering and Security

    • • reverse engineer, decompile, disassemble, or attempt to derive source code, underlying ideas, algorithms, models, prompts, data structures, or non-public datasets (except to the extent restrictions are prohibited by applicable law);
    • • probe, scan, or test the vulnerability of the Service or any system/network connected to it;
    • • introduce malware, attempt credential stuffing, or use the Service for abusive traffic patterns.

    5.4 Misuse and Misrepresentation

    • • impersonate any person or entity or misrepresent your affiliation;
    • • use the Service in a way that violates others' privacy, confidentiality, or intellectual property rights.

    We may investigate violations and may suspend or terminate access immediately, without notice, if we reasonably believe you violated this Section or pose risk to the Service or users.

    6. Intellectual Property and Ownership

    6.1 Our Content and Technology

    The Service (including software, design, text, graphics, logos, interfaces, look-and-feel, workflows, and all underlying technology) is owned by Second Look or its licensors and is protected by intellectual property laws.

    6.2 Trial Data and Third-Party Content

    Trial listings and certain source data may come from public or third-party sources. Such content may be subject to the rights of its respective owners.

    6.3 AI-Enriched Outputs and Proprietary Enhancements

    Second Look may generate or display derived materials, including summaries, classifications, eligibility interpretations, matching outputs, and other enriched data ("Outputs"). Outputs, and the methods used to generate them, may be proprietary to Second Look and are provided for informational purposes.

    6.4 License to You

    Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial clinical trial research and educational purposes.

    7. User Content and Permissions

    If you submit information to the Service ("User Content"), you represent you have the right to provide it. User Content includes, but is not limited to, health profile data, trial reviews, ratings, feedback, and survey responses.

    You grant Second Look a limited license to host, store, process, and use User Content to provide and improve the Service, consistent with our Privacy Policy.

    7.1 Trial Experience Reviews

    By submitting a trial experience review, rating, or feedback, you additionally grant Second Look the right to de-identify your submission and display it to other users of the platform. Specifically:

    • • You represent that your review is based on your genuine personal experience with the clinical trial;
    • • You understand that your review will be de-identified (name, contact information, and other identifying details will be removed) before being shared;
    • • Second Look may edit or remove reviews that contain personally identifying information, are unrelated to the trial experience, or violate these Terms;
    • • You may request removal of your reviews at any time by contacting us;
    • • De-identified and aggregated data derived from reviews may be shared with research partners, non-profit organizations, and other third parties, or used commercially, as described in our Privacy Policy.

    8. Privacy and Data Protection

    Our Privacy Policy explains how we collect, use, disclose, and protect information. By using the Service, you consent to those practices.

    • • We do not sell personal health information. We may share or license de-identified, aggregated patient experience data with partners and third parties as described in our Privacy Policy.
    • • You may modify or delete your account information as described in the Service/Privacy Policy.

    9. Availability, Changes, and Termination

    We may modify, suspend, or discontinue parts of the Service at any time.

    We may suspend or terminate your account or access:

    • • for violations of these Terms;
    • • to protect the Service, users, or our rights;
    • • if required by law.

    Upon termination, the license granted to you ends immediately.

    10. Disclaimers

    10.1 No Medical Advice

    The Service is not medical advice and is not a substitute for professional care.

    10.2 "As Is" and No Warranties

    To the maximum extent permitted by law, the Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

    10.3 Accuracy and Timeliness

    We do not warrant that trial information, Outputs, or matching results are complete, accurate, or current. Trials can change rapidly; verify with the trial site/sponsor.

    11. Limitation of Liability

    To the maximum extent permitted by law, Second Look and its directors, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or other intangible losses, arising from or related to your use of (or inability to use) the Service.

    To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service will not exceed the greater of: (a) the amounts you paid to us for the Service in the 12 months prior to the event giving rise to the claim, or (b) CAD $100.

    (Some jurisdictions limit these exclusions; in that case, they apply to the maximum extent permitted.)

    12. Indemnification

    You agree to defend, indemnify, and hold harmless Second Look from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from:

    • • your use of the Service;
    • • your violation of these Terms;
    • • your infringement of any rights of another person or entity.

    13. Enforcement and Injunctive Relief

    You acknowledge that violations of Sections 5 or 6 (including scraping, competitive misuse, or reverse engineering) may cause irreparable harm for which monetary damages may be inadequate. We may seek injunctive relief, equitable remedies, and any other remedies available at law, including recovery of legal fees where permitted.

    14. Governing Law and Venue

    These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to conflict of laws principles.

    Subject to any mandatory consumer protection laws, you agree that any dispute will be brought in the courts located in Ontario, Canada, and you consent to their jurisdiction.
